Kathleen practices securities and corporate law with an emphasis on representing publicly traded companies. She has a broad range of financial and capital transactions and disclosure issues experience, including private and public offerings, tender offers, private and public debt, mergers and acquisitions, and ’34 Act reporting.
She has previously served as General Counsel at Ceres Group, Inc., a publicly-held insurance holding company, where she provided legal counsel and strategic advice to the board, CEO and other executives on a wide range of issues.
Kathleen’s experience includes:

Managing legal policy and legal operations of a publicly-held insurance company.

Representing a publicly-held insurance company offering $45 million of its stock in a secondary public offering.

Overseeing the sale of a publicly-held insurance company.

Counseling a publicly-held real estate investment trust in its reorganization and a roll-up transaction involving the acquisition of a self-storage company valued at $25 million

Representing a manufacturing company issuing $100 million of senior notes in a 144A offering and an exchange of those notes for notes registered with the Securities and Exchange Commission

Assisting a manufacturing company in its initial public offering of $100 million of common stock

Responsible for corporate governance issues and Sarbanes-Oxley compliance.

Successfully represented an insurance company before insurance, securities, and other governmental agencies.
